Corporate finance: general overview; capital structure; financial analysis - Examples - Case study

Corporate valuation: general overview, framework surrounding valuation issues, methods (focus on DCF, deal multiples) – Examples – Case study

M&A deals: environment in which M&A deals take place; M&A processes (strategic and technical aspects); due diligence; valuation and pricing; legal aspects (NDA, LOI, SPA, etc); negotiating the deal – Examples – Case study

M&A & private equity: focus on the private equity funds in the financial market and their role; specific aspects in the M&A deals managed by PEs; acquisition financing – Examples – Case study

IPOs: focus on the initital public offerings on the Stock Exchange; why managing an IPO; the formal and substantial requirements; the IPO process – Examples –

Turnaround and financial restructuring: general overview; how the manage a financial restructuring; legal aspects; debt restructuring – Examples – Case study

Case discussions: students will be divided in groups with different roles for a case discussion of an M&A deal – Setting information and preparation
